Terms of service

1. About these terms

These Terms of Service ("Terms") form a binding agreement between you and MB Bartus IT Solutions, a Lithuanian small partnership (mazoji bendrija), company code 306255911, registered at Perkunkiemio g. 13-91, LT-12114 Vilnius, Lithuania ("Funnelion.ai", "we", "us").

By accessing funnelion.ai or using the Funnelion.ai service ("Service") you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The service

Funnelion.ai is an AI revenue intelligence platform that ingests data from communication channels (calls, web forms, emails, CRM and similar sources) and surfaces analytics, insights and automations to help organisations grow revenue. Specific functionality depends on the plan and configuration agreed with the customer.

3. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a contract. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, in which case "you" means that organisation.

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us at info@bartusit.com if you suspect unauthorised use.

4. Subscriptions and fees

Paid use of the Service is billed under a separate order form or online plan. Unless agreed otherwise:

• Fees are stated exclusive of VAT.
• Subscriptions renew automatically for successive terms equal to the prior term unless cancelled before renewal.
• Late payments may incur interest at the statutory Lithuanian rate plus 8 percentage points.

Free or trial access may be provided at our discretion and may be withdrawn at any time.

5. Acceptable use

You must not:

• Use the Service to violate any law, regulation or third party right.
• Upload data you do not have the legal right to process, including personal data without a valid lawful basis.
• Attempt to gain unauthorised access to the Service, its accounts or related systems.
• Reverse engineer, decompile or copy the Service except to the extent permitted by mandatory law.
• Resell, sublicense or use the Service to build a competing product.
• Send malware, spam or abusive content through the Service.

6. Customer Data

You retain ownership of all data and content you submit to or generate through the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process and display Customer Data solely to provide and improve the Service.

You are responsible for the accuracy and legality of Customer Data and for obtaining all consents needed to provide it to us. Where the Service involves processing of personal data on your behalf, the parties will enter a Data Processing Agreement that forms part of these Terms.

7. Intellectual property

The Service, including its software, models, user interface, branding and documentation, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited licence to use the Service under these Terms, no rights are granted to you.

Feedback you provide about the Service is non-confidential and may be used by us to improve the Service without obligation.

8. Confidentiality

Each party will keep the other party non-public information confidential and use it only as needed to perform under these Terms. This obligation survives termination.

9. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or produce specific business outcomes. Output generated by AI components may contain errors and should be reviewed before acting on it.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility. Our aggregate liability for any claim arising out of or related to the Service is limited to the fees paid by you for the Service in the 12 months preceding the event giving rise to liability. Nothing in these Terms limits liability that cannot be limited under Lithuanian law (including liability for wilful misconduct or gross negligence).

11. Indemnification

You will defend and indemnify us against third party claims arising from your Customer Data, your breach of these Terms or your unlawful use of the Service.

12. Suspension and termination

We may suspend or terminate access for material breach, non-payment, or where required by law. You may terminate by cancelling your subscription in accordance with your order form or plan. On termination, your right to use the Service ends and we will delete or return Customer Data in line with the Data Processing Agreement.

13. Changes to the Service or Terms

We may modify the Service to add, change or remove features. We may update these Terms from time to time. For material changes affecting paid customers, we will give at least 30 days notice by email or in-product. Continued use of the Service after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict of laws principles. Disputes will be resolved by the competent courts of the Republic of Lithuania, with Vilnius District Court as the court of first instance. Consumer rights granted by mandatory law in your country of residence are not affected.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition or sale of assets.
